Terms of Service

GUARDIAN TERMS OF SERVICE

Effective Date: January 20, 2026

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE GUARDIAN EMERGENCY RESPONSE SYSTEM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS. IF YOU DO NOT AGREE, DO NOT USE THIS SERVICE.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between the educational institution or organization ("Customer," "you," or "your") and Guardian Systems Inc. ("Guardian," "Company," "we," "us," or "our") governing your access to and use of the Guardian emergency response system, including hardware devices, software applications, and related services (collectively, the "Service").

By executing a Service Agreement, installing Guardian hardware, or accessing Guardian software applications, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Data Processing Agreement, and Service Level Agreement, all incorporated herein by reference.

2. SERVICE DESCRIPTION

Guardian provides an integrated emergency response and campus security system designed specifically for educational institutions. The Service includes:

  • Hardware Components: Guardian Base Units, sensors, and communication devices installed throughout your facility
  • Software Platform: Administrative dashboard, mobile applications for staff and families, and real-time monitoring systems
  • AI-Powered Detection: Local on-premise artificial intelligence for threat detection and analysis
  • Communication Infrastructure: Emergency alert systems, lockdown coordination, and first responder integration
  • Support Services: Installation, training, maintenance, and 24/7 technical support

3. ELIGIBILITY AND AUTHORIZED USERS

The Service is available exclusively to educational institutions, including public and private K-12 schools, school districts, colleges, universities, and other accredited educational organizations. By entering into this agreement, you represent and warrant that:

  • You are an authorized representative of an eligible educational institution
  • You have the authority to bind the institution to these Terms
  • You will designate authorized administrators to manage the Service
  • You will ensure all users comply with these Terms and applicable policies

4. DATA PRIVACY AND SECURITY

4.1 On-Premise Data Processing

Guardian processes all security data locally on your premises. Video footage, sensor data, and AI analysis remain within your facility and are never transmitted to external servers or cloud services. This architecture ensures:

  • Complete data sovereignty and control
  • Compliance with student privacy regulations including FERPA
  • Independence from internet connectivity for core security functions
  • Protection against external data breaches

4.2 FERPA Compliance

Guardian is designed to comply with the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g. We act as a "school official" under FERPA with a legitimate educational interest. Our Data Processing Agreement includes specific FERPA compliance provisions.

4.3 Encryption and Security

All data within the Guardian system is encrypted using AES-256 encryption at rest and TLS 1.3 for any network transmissions within your facility. Access controls, audit logging, and multi-factor authentication protect against unauthorized access.

5. CUSTOMER RESPONSIBILITIES

As a Customer, you agree to:

  • Provide accurate information during installation and configuration
  • Maintain adequate network infrastructure as specified in technical requirements
  • Ensure only authorized personnel access administrative functions
  • Conduct regular emergency drills using the Guardian system
  • Report any system malfunctions or security concerns promptly
  • Comply with all applicable laws and regulations regarding emergency response and student privacy
  • Maintain appropriate policies for video recording and monitoring on campus
  • Coordinate with local law enforcement as required by your jurisdiction

6. INTELLECTUAL PROPERTY RIGHTS

The Service, including all hardware designs, software, algorithms, AI models, documentation, and related intellectual property, are and shall remain the exclusive property of Guardian Systems Inc. and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your agreement solely for your internal security operations.

You may not: (a) reverse engineer, decompile, or disassemble any Guardian software or hardware; (b) modify, adapt, or create derivative works; (c) sublicense, rent, lease, or transfer the Service to any third party; (d) remove or alter any proprietary notices or labels.

7. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GUARDIAN EXPRESSLY DISCLAIMS:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL PREVENT ALL SECURITY INCIDENTS OR EMERGENCIES
  • WARRANTIES THAT THE AI DETECTION WILL BE 100% ACCURATE OR FREE FROM FALSE POSITIVES OR NEGATIVES
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE

GUARDIAN IS A SUPPLEMENTARY SECURITY SYSTEM AND DOES NOT REPLACE TRAINED SECURITY PERSONNEL, LAW ENFORCEMENT, OR ESTABLISHED EMERGENCY PROTOCOLS. CUSTOMER ACKNOWLEDGES THAT NO SECURITY SYSTEM CAN GUARANTEE PREVENTION OF ALL INCIDENTS.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GUARDIAN, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF LIFE, PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

GUARDIAN'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO GUARDIAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION

Customer agrees to defend, indemnify, and hold harmless Guardian and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or relating to: (a) Customer's use of the Service; (b) Customer's violation of these Terms; (c) Customer's violation of any applicable law or regulation; (d) any claims by third parties, including students, parents, employees, or visitors, arising from Customer's security operations.

10. TERM AND TERMINATION

The initial term of service shall be as specified in your Service Agreement. Either party may terminate for material breach upon thirty (30) days written notice if the breach is not cured within that period. Upon termination:

  • Customer's access to Guardian software will be deactivated
  • Guardian will coordinate removal of hardware from Customer facilities
  • All Customer data stored locally will be securely deleted or transferred to Customer as requested
  • Customer shall pay all outstanding fees through the termination date

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

12. MODIFICATIONS TO TERMS

Guardian reserves the right to modify these Terms at any time. Material changes will be communicated to Customers via email at least thirty (30) days before taking effect. Continued use of the Service after such modifications constitutes acceptance of the revised Terms.
